By accessing or using NerdNotes ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

NerdNotes is an AI-powered study tool that helps students generate organized notes from audio files and YouTube videos. The Service uses artificial intelligence to transcribe audio content and create structured study notes.

3. Eligibility

You must comply with all applicable local laws to use this Service. By using NerdNotes, you confirm that you are legally permitted to do so in your jurisdiction.

4. Account Responsibilities

You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Ensuring your uploaded content does not violate any laws or third-party rights
• Providing accurate account information

5. Subscription & Billing

NerdNotes offers the following plans:

• Free: 2 hours of transcription per month
• Student: 5 hours per month ($4.99/month or $49/year)
• Pro: 20 hours per month ($9.99/month or $99/year)

Payments are processed securely through Stripe. Subscriptions automatically renew unless cancelled. You may cancel at any time through your account settings or Stripe customer portal.

6. Usage Limits

Monthly usage limits reset on the first of each month. Unused minutes do not roll over to the next month. We reserve the right to limit or suspend accounts that show patterns of automated abuse, commercial resale, or excessive usage that impacts our infrastructure.

7. Intellectual Property

• Your Content: You retain ownership of any content you upload. By using the Service, you grant us a limited license to process your content solely to provide the Service.
• Generated Notes: You own the notes generated from your content.
• Our Service: NerdNotes, its design, features, and branding are owned by us and protected by intellectual property laws.

8. Service Availability

We strive to maintain reliable service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We are not liable for any interruptions or downtime.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that:

• The Service will be error-free or uninterrupted
• AI-generated notes will be accurate or complete
• The Service will meet your specific requirements

10. Limitation of Liability

To the maximum extent permitted by law, NerdNotes and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, academic performance, or any damages arising from your use of the Service.

11. Termination

We reserve the right to suspend or terminate your account at any time for violations of these terms or for any conduct we deem harmful to the Service or other users. You may delete your account at any time.

12. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the new terms. We will make reasonable efforts to notify users of significant changes.

• Upload copyrighted material you do not have rights to use
• Process content from sources you are not authorized to access
• Redistribute copyrighted transcriptions or notes without permission

Abusive or Harmful Content

• Upload content that is harassing, threatening, or promotes violence
• Process content containing hate speech or discriminatory material
• Use the Service to harm, exploit, or endanger others

Technical Abuse

• Attempt to reverse engineer, decompile, or disassemble the Service
• Use automated scripts, bots, or scrapers to access the Service
• Attempt to bypass usage limits, authentication, or billing systems
• Probe, scan, or test vulnerabilities in our systems
• Interfere with or disrupt the Service or its infrastructure

Service Degradation

• Use the Service in any way that significantly degrades performance for other users
• Submit excessively long or numerous requests designed to overload our systems
• Resell or commercially redistribute the Service without authorization

• Payment Information: Handled securely by Stripe; we do not store your full card details

• To provide the transcription and note generation service
• To track your usage against your plan limits
• To process payments and manage subscriptions

Third-Party Services

We use the following third-party services to provide NerdNotes:

• AssemblyAI: For audio transcription
• OpenAI: For generating study notes
• Stripe: For payment processing
• Replit: For authentication and hosting

Your content may be processed by these services according to their respective privacy policies. We recommend reviewing their policies for more details.

Data Retention

• Uploaded audio files are deleted after processing
• Generated notes are stored in your account until you delete them
• Account data is retained while your account is active
• We may delete inactive accounts and associated data after extended periods of inactivity

Data Sharing

Security

We implement reasonable security measures to protect your data, including encrypted connections and secure authentication. However, no system is 100% secure, and we cannot guarantee absolute security. Please use strong passwords and protect your account credentials.

Your Rights

You have the right to:

• Access your account data
• Delete your notes and uploaded content
• Request account deletion
• Cancel your subscription at any time
